Terms of Service

These Terms of Service ("Terms") govern your access to and use of noveraxyagency.com and all branding, design, and digital identity services provided by Noveraxy LLC, doing business as Noveraxy Agency ("we," "us," or "our"). Noveraxy Agency is a brand owned and operated by Noveraxy LLC, a company registered in the state of Wyoming, United States.

By accessing our website, submitting a contact form, booking a discovery call, or engaging our services in any capacity, you acknowledge that you have read, understood, and agree to be bound by these Terms in full. If you do not agree with any part of these Terms, you must not use our website or services.

Noveraxy Agency specializes in custom branding and digital design services, including but not limited to:

• Logo design and visual identity creation
• Brand strategy and positioning
• Brand guidelines and style guide development
• Social media brand kits and templates
• Business collateral design (business cards, letterheads, email signatures)
• Website design (UI/UX) for premium packages
• Presentation deck and pitch template design

To ensure timely and successful delivery of your project, you agree to the following responsibilities:

• ✓ Provide required materials — supply all necessary brand assets (existing logos, fonts, color codes, imagery), content, and copy in a timely manner, unless asset creation is explicitly included in your package or SOW.
• ✓ Provide platform access — grant required access to third-party platforms (domain registrar, hosting, social media accounts, CMS) as needed for project fulfillment.
• ✓ Provide timely feedback — respond to revision requests, concept presentations, and approval stages within the timelines agreed upon during onboarding. Delayed responses may extend delivery dates.
• ✓ Complete onboarding — fill out the onboarding questionnaire and submit all required information within 5 business days of payment confirmation.

All payments are processed securely through Stripe. Business banking is managed through Mercury. Charges on your statement will appear as "NOVERAXY LLC" or "NOVERAXY AGENCY".

• ✓ Deposits: Projects require an upfront, non-refundable deposit (typically 50% of the total project cost) before work commences, unless otherwise stated in your proposal. The deposit reserves your place in our production schedule.
• ✓ Final payment: The remaining balance is due upon project completion, prior to the final handover of all design assets and deliverables. Files will not be released until full payment is received.
• ✓ Late payments: We reserve the right to pause all active work and withhold final deliverables if invoice payments are delayed beyond the agreed payment date. A late fee of 5% per month may apply to overdue balances after a 7-day grace period.
• ✓ Invoicing: All invoices are issued via Stripe to the email address on file. Payment is accepted via Visa, Mastercard, American Express, Discover, Apple Pay, Google Pay, and bank transfers (ACH).

• ✓ Deposits are non-refundable. Once work has commenced or discovery/strategy sessions have been conducted, the deposit is strictly non-refundable as it compensates for reserved production time and initial creative work.
• ✓ Mid-project cancellations: Either party may cancel with written notice to support@noveraxyagency.com. The client will be billed for all work completed at our standard rate, or the deposit will be forfeited — whichever is greater. All deliverables produced to that point will be released in their current state.
• ✓ Completed projects: We do not offer refunds on completed branding, design assets, brand guidelines, or any other deliverables once final payment has been made and/or files have been delivered.

• ✓ Ownership transfer: Upon receipt of final payment in full, the client assumes full ownership of all final design deliverables created specifically for their project — including logos, brand marks, brand guidelines, templates, and all associated design files as outlined in the SOW.
• ✓ Pre-existing materials: Any pre-existing intellectual property, proprietary tools, templates, frameworks, or methodologies owned by Noveraxy LLC prior to or outside the scope of your project remain the exclusive property of Noveraxy LLC.
• ✓ Portfolio rights: Noveraxy LLC retains the right to showcase completed work in our portfolio, website, case studies, social media, and marketing materials unless a specific Non-Disclosure Agreement (NDA) has been signed prior to project commencement.

Each branding package includes a defined number of revision rounds as specified in your proposal or SOW:

• Starter Brand (€799): 1 round of revisions
• Growth Brand (€1,899): 2 rounds of revisions
• Full Brand System (€3,499): Unlimited revisions

Noveraxy LLC strives to deliver high-quality, professional branding and design work that meets the scope and standards outlined in each project proposal.

However, we do not guarantee specific business results, revenue increases, customer acquisition, or market outcomes as a result of using the brand identity, designs, or any deliverables created by Noveraxy LLC.

To the maximum extent permitted by applicable law, Noveraxy LLC shall not be held liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to lost profits, lost revenue, lost data, or business interruption — arising from:

• The use or inability to use our services or deliverables
• Third-party platform outages, changes, or limitations (e.g., hosting providers, domain registrars, social media platforms)
• Unauthorized access to or alteration of your data or transmissions
• Any errors, omissions, or inaccuracies in content provided by the client

Both parties agree to maintain the confidentiality of any proprietary or sensitive information exchanged during the course of the project. This includes, but is not limited to, business strategies, financial data, client lists, trade secrets, and unpublished creative work.

Confidentiality obligations survive the termination or completion of the project for a period of 2 years, unless a separate NDA specifies different terms.

Either party may terminate the service agreement under the following conditions:

• ✓ By the client: You may terminate at any time by providing written notice to support@noveraxyagency.com. Deposits are non-refundable, and you will be billed for all work completed to date.
• ✓ By Noveraxy LLC: We may terminate the agreement if the client breaches these Terms, fails to make payment within the agreed timeframe, becomes unresponsive for more than 45 days, or engages in abusive or threatening behavior toward our team.
• ✓ Effect of termination: Upon termination, all completed deliverables paid for in full will be released to the client. Any unpaid work remains the property of Noveraxy LLC until payment is received.

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions.

Any disputes arising out of or in connection with these Terms, or the services provided by Noveraxy LLC, shall first be attempted to be resolved through good-faith negotiation between the parties. If negotiation fails, disputes shall be resolved through binding arbitration or in the courts located in Sheridan County, Wyoming.

Each party shall bear its own legal costs and fees unless otherwise determined by the arbitrator or court.

Noveraxy LLC reserves the right to update or modify these Terms of Service at any time. Changes will be posted on this page with an updated "Last updated" date. Continued use of our website or services after any modifications constitutes your acceptance of the revised Terms.

For material changes that affect existing clients with active projects, we will provide notification via email at least 15 days before the changes take effect.
